- Definitions
- “Client” refers to any business entity or organization that engages our services for recruitment, executive search, or consulting.
- “Candidate” refers to any individual introduced by us to a client for potential employment.
- “Services” refer to recruitment, staffing, talent acquisition, executive search, and related consulting services provided by us.
- Scope of Services
- We provide tailored recruitment solutions, identifying, assessing, and presenting qualified candidates to Clients.
- The Client is responsible for verifying a Candidate’s suitability before making a hiring decision.
- We do not guarantee employment outcomes or performance of hired candidates.
- Client Responsibilities
- The Client must provide accurate job descriptions, qualifications, and hiring criteria.
- The Client agrees to communicate hiring decisions and feedback in a timely manner.
- The Client shall not disclose candidate details to third parties without our written consent.
- Fees and Payments
- Fees for our services shall be agreed upon in a separate contract or service agreement.
- Payments are due within 30 days from the date of the invoice.
- Late payments may incur additional fees or interest charges.
- In the event of a successful hire, the agreed-upon placement fee is payable even if the Candidate leaves the Client’s employment after a certain period unless otherwise stated in the agreement.
- Candidate Ownership and Confidentiality
- Candidates introduced by us remain our exclusive referrals for a period of 12 months.
- If a client hires a Candidate within this period, our standard placement fee applies.
- Both parties agree to maintain the confidentiality of all shared candidates and business information.
- Replacement Guarantee
- If a Candidate leaves employment within 90 days, we will provide a replacement search at no additional cost, subject to the agreed terms.
- The replacement guarantee does not apply if the Candidate leaves due to redundancy, company restructuring, or changes in job responsibilities.
- Liability and Limitations
- We are not liable for any direct or indirect losses arising from a client’s hiring decision.
We do not provide warranties regarding a Candidate’s future performance. - Our maximum liability shall not exceed the total fees paid by the Client for the relevant service.

- Non-Solicitation
- The Client agrees not to directly hire or solicit our consultants or employees for a period of 12 months from the date of service engagement.
- Termination
- Either party may terminate the engagement with 30 days’ written notice.
- Termination does not relieve the Client of any outstanding payment obligations.
- Governing Law and Dispute Resolution
- These Terms shall be governed by and interpreted in accordance with the laws of Noida, UP Jurisdiction.
- Any disputes shall first be resolved through good faith negotiations. If unresolved, disputes shall be settled through arbitration in Noida, UP.
- Amendments and Updates
- We reserve the right to modify these Terms and Conditions at any time. Updates will be posted on our website, and continued use of our services constitutes acceptance of the revised terms.
